Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you and FUYUNIWA LLC, a company organized under the laws of the State of Florida, United States, with its principal place of business at 5314 Golden Apple Dr, Winter Garden, FL 34787-8630.

By accessing our website at www.lingce.lat, engaging our computer systems design and related services, or otherwise interacting with FUYUNIWA LLC, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our website or services.

We reserve the right to refuse service to anyone for any reason at any time.

Description of Services

FUYUNIWA LLC provides computer systems design and related services, including but not limited to systems architecture, technology consulting, custom software development, cloud infrastructure design, DevOps engineering, API design, database architecture, security and compliance consulting, performance optimization, technical strategy, and data engineering.

The specific scope, deliverables, timeline, and fees for any engagement will be set forth in a separate written agreement, statement of work, or proposal executed by both parties. In the event of any conflict between these Terms and a separately executed agreement, the separately executed agreement shall govern.

Intellectual Property

All content on this website, including text, graphics, logos, design elements, and code, is the property of FUYUNIWA LLC and is protected by United States and international intellectual property laws.

With respect to client engagements, intellectual property rights in deliverables shall be addressed in the applicable statement of work or services agreement. Unless otherwise agreed in writing:

• FUYUNIWA LLC retains ownership of all pre-existing materials, tools, methodologies, frameworks, and know-how used in the performance of services
• Upon full payment, the client receives a non-exclusive, perpetual license to use deliverables created specifically for the client
• FUYUNIWA LLC retains the right to use general knowledge, skills, and experience acquired during the engagement

User Obligations

When using our website and services, you agree to:

• Provide accurate, current, and complete information as requested
• Maintain the confidentiality of any account credentials
• Use our website and services only for lawful purposes
• Not engage in any activity that interferes with or disrupts our website or services
• Not attempt to gain unauthorized access to any part of our systems
• Not use our website to transmit malware, spam, or harmful code
• Comply with all applicable laws and regulations

Payment Terms

Payment terms for services will be specified in the applicable statement of work or services agreement. Standard payment terms require payment within thirty (30) days of invoice date unless otherwise agreed in writing.

Late payments may accrue interest at the rate of 1.5% per month, or the maximum rate permitted by applicable law, whichever is less. FUYUNIWA LLC reserves the right to suspend services if payment is not received within the agreed timeframe.

All fees are stated in United States Dollars (USD) unless otherwise specified. Clients are responsible for any applicable taxes, duties, or levies.

Confidentiality

Both parties acknowledge that during the course of an engagement, confidential information may be exchanged. Each party agrees to protect the other’s confidential information using the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Confidential information does not include information that: is or becomes publicly available through no fault of the receiving party; was known to the receiving party prior to disclosure; is independently developed by the receiving party; or is disclosed pursuant to legal requirement.

Confidentiality obligations specific to each engagement will be detailed in the applicable services agreement.

Limitation of Liability

To the fullest extent permitted by applicable law, FUYUNIWA LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising from:

• Your use of or inability to use our website or services
• Any conduct or content of any third party on our website
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall FUYUNIWA LLC’s aggregate liability for any claims arising from or relating to these Terms or the services exceed the total fees paid by you to FUYUNIWA LLC during the twelve (12) months preceding the event giving rise to the claim.

Disclaimers

Our website and services are provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied.

FUYUNIWA LLC does not warrant that:

• The website will function uninterrupted, secure, or error-free
• Errors or defects will be corrected
• The website or server are free of viruses or harmful components
• Results obtained from using our services will be accurate or reliable

We expressly disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Termination

We may terminate or suspend your access to our website and services immediately, without prior notice or liability, for any reason, including without limitation a breach of these Terms.

Termination of an individual services engagement shall be governed by the terms of the applicable services agreement. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, confidentiality, limitation of liability, disclaimers, and governing law.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.

Any legal action or proceeding arising from or relating to these Terms shall be brought exclusively in the federal or state courts located in Orange County, Florida. You consent to the personal jurisdiction of such courts and waive any objection based on improper venue or forum non conveniens.

Dispute Resolution

Before initiating formal legal proceedings, the parties agree to attempt in good faith to resolve any dispute informally. The complaining party shall provide written notice describing the nature of the dispute, and both parties shall have thirty (30) days to attempt resolution through direct negotiation.

If the dispute is not resolved through negotiation, the parties may agree to submit the matter to mediation. If mediation is unsuccessful or not pursued, either party may pursue remedies available at law or in equity.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information.

Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. Changes will be effective upon posting to this page. We will update the “Effective Date” to reflect the date of the most recent revision.

Your continued use of our website or services after any changes constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of our website and services.
